Terms of service

Last updated: 25 October 2026

These terms govern the sourcing, inspection, consolidation and logistics services provided by WELSEEK. They apply to quotations, order confirmations and invoices. Where a signed contract exists, the contract prevails.

1. Our role

WELSEEK acts as your buying agent in China. We are not the manufacturer or the seller of the goods. The contract of sale for the goods is between you and the factory; our contract with you covers the services described in the quotation.

2. Quotations

Quotations are valid for 15 days unless stated otherwise. Prices depend on the specification, quantity, packaging, freight rates and exchange rates at the time of quotation. A quotation becomes binding when you confirm it in writing and pay any agreed deposit.

3. Service fee

Our service fee is 5% of the goods value, or the flat project fee stated in the quotation. It excludes freight, insurance, duties, taxes and third-party testing, which are passed through at cost. The fee is disclosed before you approve the order.

4. Samples and approvals

Production is based on the golden sample and specification approved in writing by you. Changes requested after approval may change price and lead time. Samples remain the property of the client once paid for.

5. Inspection and acceptance

Unless agreed otherwise, goods are inspected to AQL 2.5 under ISO 2859-1 before the balance is released. Inspection is a sampling process, not a guarantee of zero defects. Claims for defects not covered by the inspection must be raised within 15 days of delivery with photographic evidence.

6. Lead times and delay

Lead times are estimates based on factory commitments and are not guaranteed unless stated as fixed in the order confirmation. We notify you as soon as a delay is known and agree a recovery plan. Liability for delay is limited to the service fee attributable to the affected order.

7. Payment

You pay the factory directly unless a managed payment is agreed. We verify bank details before any transfer and are not responsible for payments made to accounts we have not confirmed in writing. Late payment of our service fee may suspend services.

8. Shipping, risk and insurance

Risk passes according to the agreed Incoterm. We arrange insurance on request and at cost. Where we act as importer of record on DDP terms, we do so as your agent and within the limits of the destination country’s law.

9. Compliance and product liability

Legal responsibility for product compliance in the destination market rests with the importer of record. We verify certificates, arrange accredited testing and check labelling, but we do not warrant that a product meets every regulatory requirement in every market.

10. Intellectual property

You confirm that you own or are licensed to use the designs, trademarks and artwork you send us. We keep them confidential, use them only for your order, and require factories to confirm in writing that they will not use them for other buyers.

11. Limitation of liability

Our aggregate liability for any claim is limited to the service fee paid for the order concerned. We are not liable for indirect or consequential loss, including lost profit, lost sales or reputational harm.

12. Force majeure

Neither party is liable for failure caused by events beyond reasonable control, including natural disasters, epidemics, war, port closures, carrier insolvency or changes in law. Affected obligations are suspended for the duration of the event.

13. Governing law

These terms are governed by the laws of the People’s Republic of China. Disputes are referred to the competent court in Yiwu, Zhejiang, unless the parties agree in writing to arbitration.
